1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Nutek Software LLC ("we," "us," or "our"), a New Mexico Limited Liability Company, concerning your access to and use of our website and services.

2. Services

Nutek Software LLC provides software development, automation and infrastructure consulting services ("Services"). Specific deliverables, timelines and fees will be outlined in a separate Statement of Work (SOW) or Proposal agreed upon by both parties.

3. Intellectual Property Rights

Unless otherwise indicated, the website and services are our proprietary property. Upon full payment for our services, we grant you a perpetual, non-exclusive, worldwide license to use the code and infrastructure configurations delivered to you for your business purposes.

4. Limitation of Liability

To the fullest extent permitted by law, in no event will we be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue, loss of data or other damages arising from your use of the services, even if we have been advised of the possibility of such damages.

Our liability is limited to the amount paid by you to us during the six (6) month period prior to any cause of action arising.

5. Hosting and Infrastructure

We may assist in setting up hosting accounts (for example on Hetzner or AWS). You acknowledge that you are the account holder for these services and are responsible for paying the respective providers directly unless otherwise agreed. We are not a hosting provider and do not guarantee 100% uptime of third-party infrastructure.

6. Governing Law

These Terms shall be governed by and defined following the laws of the State of New Mexico. Nutek Software LLC and yourself irrevocably consent that the courts of New Mexico shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
